JewelVPN – Terms of Service
Effective date: September 14, 2025
Welcome to JewelVPN (the “Service”). These Terms of Service (the “Terms”) are a binding agreement between you and Standard Holdings Group LLC (“JewelVPN,” “we,” “our,” or “us”). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms include a mandatory arbitration provision and class action waiver in Section 18.
1. Eligibility & Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
2. The Service
JewelVPN provides virtual private networking and related software. Features may vary by platform, version, or region and may change over time. We may suspend, modify, or discontinue features consistent with these Terms.
3. Fees
JewelVPN is provided free of charge. We do not charge subscription fees, in‑app purchases, or any other amounts for the Service. Your mobile/ISP carrier may charge data fees when you use the Service.
4. Acceptable Use
You agree not to misuse the Service, including by: (a) violating any law or rights of others; (b) infringing intellectual property; (c) sending spam; (d) distributing malware or engaging in security breaches; (e) interfering with networks or services; (f) attempting to bypass geographic restrictions imposed by third parties in violation of their terms; or (g) using the Service for any high‑risk or illegal activity.
5. No Emergency Services
JewelVPN does not and cannot connect you to emergency services.
6. Software License & Updates
Subject to these Terms, we grant you a limited, revocable, non‑exclusive, non‑transferable license to install and use our client software solely to access the Service. We may provide updates that you must install to continue using the Service. The software may include open‑source components under their own licenses.
7. Third‑Party Services & Partner Integrations
The Service may interoperate with, link to, or enable optional third‑party services. When you use a third‑party service, its terms and policies govern your use of that service. We are not responsible for third‑party services.
8. Honeygain Integration (User Consent Required)
8.1 Overview. JewelVPN includes an optional integration with the Honeygain SDK (“Honeygain”). If you choose to enable it, your device may become an exit node that shares a portion of your internet bandwidth and IP address with Honeygain for commercial traffic routing purposes.
8.2 Explicit Opt‑In & Built‑In Consent Dialog. We will not enable Honeygain without your explicit, affirmative consent via a built‑in consent dialog. By clicking “I accept” (or a similar control) in that dialog, you consent to installation/activation of the Honeygain component on your device and to the use of your bandwidth and IP address as described.
8.3 Opt‑Out Available At All Times. You may withdraw consent at any time using in‑app controls. When you revoke consent, JewelVPN will stop the Honeygain component and prevent it from starting again unless and until you opt in. Uninstalling the app will also stop Honeygain.
8.4 Additional Terms & Privacy. By enabling Honeygain, you acknowledge and agree that: (a) the Honeygain SDK End‑User Terms and Honeygain Privacy Policy also apply; and (b) Honeygain may collect certain technical information as described in its policies. You should review those terms and policies before opting in.
8.5 Resource Use & Controls. Enabling Honeygain can consume network bandwidth and limited device resources. The app exposes controls to enable/disable Honeygain at any time.
8.6 Age Requirement. The Honeygain feature is intended for adult users. Do not enable Honeygain if you are under the age of majority in your jurisdiction unless permitted by Honeygain’s policies with proper guardian consent.
8.7 Compliance Audits. Honeygain may require us to present a specific consent text or use their built‑in consent window, and may audit or require changes to our consent flow. We may update the app and these Terms to maintain compliance.
9. Privacy
We do not collect or retain logs of any type about your VPN activity or app usage — not even crash logs — and we do not inspect or store the contents of your VPN traffic.
We may collect fully anonymized heartbeat reports (aggregate event pings that contain no IP address, device identifier, or other persistent identifier) solely to gauge concurrent server usage and capacity needs so we can scale infrastructure and avoid overloads. These heartbeats are not linked to you and are processed only in aggregate to ensure service reliability.
If you enable Honeygain, see Section 8.4.
10. Ownership
We and our licensors retain all rights, title, and interest in the Service and software. Except for the license granted in Section 6, these Terms do not grant you any rights in or to our IP or trademarks.
11. Feedback
If you provide suggestions or feedback, you grant us a non‑exclusive, perpetual, irrevocable, royalty‑free license to use them for any purpose without restriction or compensation.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access for any violation of these Terms, suspected fraud or abuse, or to comply with law. Upon termination, Sections intended to survive (including 4, 6, 8, 9–11, 13–20) remain in effect.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER JEWELVPN NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR THIRD‑PARTY SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF US$50 OR THE AMOUNT YOU PAID TO USE THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You will indemnify and hold JewelVPN and its affiliates, officers, agents, and employees harmless from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or misuse of the Service.
16. Export & Sanctions
Your use of the Service must comply with all applicable U.S. export control and sanctions laws and regulations (including those administered by BIS, OFAC, and the U.S. Department of State). Where we hold a U.S. government authorization, license, exemption, or other approval permitting distribution of the Service to certain sanctioned jurisdictions or users, the Service may be made available to you pursuant to and within the scope of that authorization.
You agree not to use the Service in any manner prohibited by U.S. or other applicable law, including for prohibited end uses (e.g., WMD, military end use/end user restrictions), or by any person or entity on a restricted‑party list, except as expressly permitted under an applicable U.S. authorization. You represent that you are not a prohibited party and that you will comply with all license conditions that may apply.
17. Changes to the Service or Terms
We may modify the Service and these Terms. If we make material changes, we will provide notice (e.g., in‑app). Changes become effective when posted unless a later date is stated. Your continued use after changes take effect constitutes acceptance.
18. Dispute Resolution; Arbitration; Class Waiver
18.1 Informal Resolution. Contact us first at [email protected] to resolve concerns.
18.2 Binding Arbitration. Any dispute arising from or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. You and JewelVPN waive the right to a jury trial and to participate in a class action. The arbitration seat and governing procedural law will be in North Carolina, USA.
18.3 Opt‑Out. You may opt out of arbitration within 30 days of accepting these Terms by emailing [email protected] with your name, the email associated with your account, and a clear statement you opt out of arbitration.
18.4 Exceptions. Either party may seek injunctive or equitable relief in court for IP infringement or unauthorized use/misuse of the Service.
18.5 Venue; Governing Law. These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict‑of‑laws rules. Subject to arbitration, exclusive venue is the state or federal courts located in Cabarrus County, North Carolina.
19. Consumers & Local Rights
Nothing in these Terms limits any non‑waivable consumer rights under applicable law. If any provision is found unenforceable, it will be modified to the minimum extent necessary to be enforceable, and the remainder will remain in effect.
